Terms and Conditions
By accepting the terms and conditions of the entire ordering process, you agree to the terms and conditions of all Web Development projects done by Business Catalyst CMS. If you are entering into this Agreement on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these terms and conditions.
Client Content
The client is responsible for providing and creating content to be incorporated in the Web Site, including but not limited to, any lists, libraries, databases, software files, including but not limited to HTML, graphic files, images, photographs, illustrations, graphics, audio clips, video clips or text. Client shall deliver the content to Business Catalyst CMS in a format specified and accessible by Business Catalyst CMS as specified in the Specifications. Any services required to convert content not set forth in the Specifications shall be charged an additional fee. Business Catalyst CMS will not be liable for copyright, patent, trademark, intellectual property or publishing right disputes, infringements arising out of or concerning materials submitted to Business Catalyst CMS for inclusion on the Web Site. If content is not provided within the said period, then Business Catalyst will use dummy text in lieu of Client’s content.
Charges and Payments of Fees
Charges for services to be provided by Business Catalyst CMS are defined in the project quotation that the Client receives via agreed contact method. Business Catalyst CMS reserves the right to alter or change any part of the quotation.
Fees payable to Business Catalyst CMS are due on the schedule defined in the quotation. If any payment remains outstanding by the time the web pages are completed, Business Catalyst CMS shall be entitled to withhold goods, services that it is otherwise be obligated to provide.Business Catalyst CMS is not responsible for any loss of data incurred due to the removal of the service. Removal of such material does not relieve the Client of the obligation to pay any outstanding charges including penalty fees. In the event of dispute either in the charges or the result of the service/product, Client is still liable to remit payment on the due date.
Point of Contact
Client is responsible to provide a point of contact/s to Business Catalyst CMS who will provide the necessary authorizations, information and approvals of the service provided by Business Catalyst CMS. Client may change the point of contact/s after advance notice to Business Catalyst CMS.
Review and Approval
Business Catalyst CMS will give the Client an opportunity to review the appearance and content of the Web site during the design and completion. At the completion of the client’s project, it is deemed to be accepted and approved unless the Client notifies Business Catalyst CMS. A failure to notify Business Catalyst CMS in writing or through email in the days allotted shall mean acceptance of the Client of the Web site product.
Revisions
If the client wishes to revise the Web site that is not in the Specifications, such change shall be subject to such additional charges that will be quoted by Business Catalyst CMS and agreed by the Parties. Despite the revision, client will immediately pay the remaining balance of the original quotation.
Copyright to Web pages
Copyright to the finished assembled work of webpages owned and produced by Business Catalyst CMS cannot be reproduced without written consent. Upon final payment of this Agreement, the client is assigned rights to use as a website the design, graphics, and text contained in the finished assembled website. Rights to graphics, source code, work-up files, and computer programs are specifically not transferred to the client, and remain the property of their respective owners. Business Catalyst CMS and its subcontractors retain the right to display graphics and other Web design elements as examples of their work in their respective portfolios.
